Agreement

This End User License Agreement is a binding contract between Anorak Group, LLC, a Texas limited liability company doing business as MapCrates ("MapCrates," "we," "us"), and you. It governs the MapCrates desktop application, including updates and documentation (the "App").

You accept this EULA by clicking "I agree" during installation or at first login, or by installing or using the App. If you use the App on behalf of an organization, you represent that you are authorized to bind it.

The MapCrates Terms of Service and Privacy Policy apply to your account, subscriptions, and the websites, and are incorporated by reference. Precedence: a signed written agreement controls first, then any beta or order terms, then this EULA as to the software, then the Terms of Service.

1. Definitions

• "Exhibit" - a self-contained HTML map deliverable exported by the App, including the embedded MapCrates viewer software inside it.
• "License Session" - the single active machine session authorized for your account at any one time.
• "Your Content" - data you process with the App: GIS datasets, imagery, attachments, logos, project files, .mapcrate / .mapcrates packages, and related materials.

2. License Grant; Named-User Model

Subject to this EULA and an active entitlement (paid subscription, trial, or beta grant under the Terms of Service), MapCrates grants you a limited, revocable, non-exclusive, non-transferable license to install and run the App for your internal professional and business mapping work.

Your account licenses one named individual. You may install the App on multiple machines, but only one machine may hold an active License Session at a time. The App obtains and refreshes license leases from MapCrates servers; offline operation is permitted within a limited grace period (currently up to 7 days for paid subscriptions, shorter for trials), which MapCrates may adjust for security, entitlement, or version reasons. MapCrates may enforce minimum supported versions.

3. Exhibit Runtime License

Each Exhibit contains embedded MapCrates viewer software. MapCrates grants you a perpetual, irrevocable, royalty-free, worldwide license to use and distribute that embedded software solely as part of Exhibits you exported while validly licensed - including delivering Exhibits to clients, courts, regulators, and any other recipients, and including after this EULA or your subscription ends.

Recipients may open and use Exhibits without any account or license. This license does not permit extracting, modifying, or reusing the viewer software outside an Exhibit, or removing proprietary notices.

4. Restrictions

You may not:

• Resell, rent, sublicense, host, or provide the App as a service bureau or managed service.
• Reverse engineer, decompile, or disassemble the App except where applicable law overrides this restriction.
• Circumvent licensing, session, or security controls.
• Share credentials or exceed licensed License Sessions.
• Redistribute installers or credentials.
• Remove proprietary notices.
• Use the App to violate law, third-party rights, or data-source license terms.

5. Your Content; Local-First Processing; Export Survival

The App is designed so Your Content stays on your machine; MapCrates servers handle identity, entitlement, licensing, downloads, billing, security, and support records - not Your Content. You own Your Content and your Exhibits.

Exports survive termination. Exhibits and project files created while licensed remain yours and remain functional after termination; termination ends the right to run the App and create new Exhibits, never the validity of Exhibits already exported.

You are solely responsible for having all rights needed to process, cache, package, export, and share Your Content, including basemap, tile-service, and imagery license terms; reviewing Exhibits for accuracy, confidentiality, attribution, and client restrictions before delivery; and maintaining backups. The App is not a backup service, project archive, or system of record.

6. Professional Use Disclaimer

Exhibits are visualization and communication deliverables. They are not land surveys, legal boundary determinations, engineering or surveying certifications, or regulatory submissions, and must not be relied on for emergency-response, life-safety, navigation, or critical-infrastructure decisions without independent verification by a qualified licensed professional.

Coordinates, measurements, projections, and renderings depend on your input data and are provided as-is. You remain responsible for professional judgment, QA/QC, data validation, coordinate-system verification, and final acceptance of any deliverable created with the App.

7. Updates and Support

MapCrates may provide updates, fixes, and documentation, and may modify or discontinue features. Some updates may be required to continue using the App. No particular support response time, availability level, or feature delivery is guaranteed absent a separate written agreement.

8. Term and Termination

This EULA is effective until terminated. It terminates automatically when your entitlement ends (subscription cancellation or expiry, trial expiry, or beta withdrawal) and may be terminated by MapCrates for material breach, security risk, or license circumvention, with notice where practicable, including revocation of active License Sessions. Sections 3, 5, 6, and 9-11 survive termination.

9. Warranty Disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. MAPCRATES DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT ANY EXHIBIT IS SUITABLE FOR A PARTICULAR PROFESSIONAL, LEGAL, OR REGULATORY PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) MAPCRATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS; AND (B) MAPCRATES' TOTAL AGGREGATE LIABILITY UNDER THIS EULA AND THE TERMS OF SERVICE COMBINED SHALL NOT EXCEED THE LESSER OF (i) THE AMOUNTS YOU PAID MAPCRATES IN THE 12 MONTHS BEFORE THE CLAIM OR (ii) $500 - OR $100 IF YOU HAVE PAID NOTHING.

These limits do not apply where prohibited by law, including liability for fraud, willful misconduct, or death or personal injury.

11. Governing Law; Disputes; General

Texas law governs this EULA, without regard to conflict-of-laws rules. Disputes are resolved as provided in the Terms of Service (good-faith informal resolution first, then exclusively in the state or federal courts located in Comal County, Texas, on an individual basis).

Material changes to this EULA will be made on at least 30 days' notice by email or in-product notice; continued use after the effective date is acceptance. If any provision is unenforceable, the remainder stands. You may not assign this EULA without MapCrates' consent; MapCrates may assign it in connection with a merger, acquisition, or asset sale. You agree to comply with applicable export laws.
