Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between Anorak Group, LLC, a Texas limited liability company doing business as MapCrates ("MapCrates," "we," "us"), and you. They govern the MapCrates websites (mapcrates.com and its subdomains), your MapCrates account, installer downloads, subscriptions, and related online services (together, the "Service").

The MapCrates desktop application is governed by the MapCrates End User License Agreement ("EULA"), which is incorporated by reference along with the MapCrates Privacy Policy. If these documents conflict, a signed written agreement controls first, then any beta or order terms, then the EULA as to the desktop software, then these Terms.

You accept these Terms by clicking "I agree" during signup or by using the Service. If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and "you" includes it.

1. Eligibility

You must be at least 18 years old to create an account or use the Service. The Service is a professional tool, is not directed to children, and may not be used by anyone under 13.

2. Your Account

You agree to provide accurate registration information and keep it current, keep your credentials secure, and promptly notify security@mapcrates.com if you believe your account or credentials have been compromised. You may not share credentials, transfer your account, create accounts by automated means, or bypass email verification, human verification, or license enforcement.

We may require reasonable security steps - email verification, password reset, device registration, or multi-factor authentication - before allowing access.

3. What MapCrates Is (and Is Not)

MapCrates is local-first desktop software that packages GIS data, imagery, and map styling into self-contained offline HTML map exhibits ("Exhibits"), together with online account, licensing, download, and billing services. Your GIS datasets, drone imagery, project files, and Exhibits stay on your machine and are not uploaded to MapCrates servers.

MapCrates is not a data backup service, project archive, survey record, legal boundary authority, or system of record. You are responsible for maintaining backups of your data and deliverables.

4. Subscriptions, Trial, and Billing

Plans. Paid subscriptions are offered monthly at $19.99 and annually at $199.99, plus applicable taxes. Prices may change with at least 30 days' notice, effective at your next renewal.

Free trial. New subscriptions include a 3-day free trial with a payment method on file. Unless you cancel before the trial ends, your paid subscription begins automatically when the trial expires and your payment method is charged.

Auto-renewal and cancellation. Subscriptions renew automatically each billing period until canceled. You may cancel at any time from your account or the billing portal; cancellation takes effect at the end of the current billing period.

Refunds. Monthly subscription fees are non-refundable except where required by law. Annual subscription fees are refundable in full if a refund is requested within 14 days of the annual charge (including renewal charges); after that window, annual fees are non-refundable except where required by law. MapCrates may grant refunds outside this policy case-by-case at its sole discretion; a discretionary refund is a courtesy and does not waive this policy or create a course of dealing.

Payment processing. Payments are processed by Stripe. MapCrates does not store full card numbers. We may suspend entitlement after a failed payment, with warning.

Beta access. Beta entitlements may be granted free of charge, may be modified or withdrawn at any time, are provided without warranty or service commitments, and may include features that change or are removed.

5. Ownership of Your Content and Exports

You own your data, project files, and the Exhibits you create. MapCrates claims no rights in them beyond the limited license needed to handle materials you voluntarily send to support.

Exports survive termination. Exhibits you exported while validly licensed remain yours and continue to function after your subscription or these Terms end. Termination affects your ability to create new Exhibits - never the validity of Exhibits already exported. The license for the MapCrates viewer software embedded in Exhibits is set out in the EULA and survives per its terms.

You are solely responsible for having all rights needed to process, package, export, and share your data, basemaps, imagery, logos, and third-party content, including compliance with tile-service and imagery license terms, and for reviewing every Exhibit for accuracy, confidentiality, attribution, and client restrictions before delivering it.

6. Professional Use Disclaimer

Exhibits are visualization and communication deliverables. They are not land surveys, legal boundary determinations, engineering or surveying certifications, or regulatory submissions, and must not be relied on for emergency-response, life-safety, navigation, or critical-infrastructure decisions without independent verification by a qualified licensed professional.

Coordinates, measurements, projections, and renderings depend on the quality of your input data and are provided as-is. You remain responsible for professional judgment, QA/QC, data validation, and final acceptance of any deliverable created with MapCrates.

7. Acceptable Use

You may not use the Service to:

• Violate any law or third-party right.
• Transmit malware or harmful code.
• Probe, scrape, overload, or disrupt the Service or evade rate limits or access controls.
• Access another user's account or data.
• Impersonate any person.
• Harass or abuse our personnel or other users.
• Misrepresent the source or certification status of a deliverable.
• Engage in fraud.
• Systematically extract Service content to build a competing product.

Commercial use of your own Exhibits is expressly permitted - this section restricts abuse of the Service, not your business use of your deliverables.

8. Intellectual Property; Feedback; Copyright Complaints

The Service - including software, templates, documentation, site content, and the MapCrates name, logo, and trade dress - is owned by Anorak Group, LLC or its licensors. No rights are granted except those expressly stated in these Terms and the EULA.

Feedback, suggestions, and bug reports you submit may be used by MapCrates without restriction or compensation. If you believe content available through the Service infringes your copyright, notify support@mapcrates.com identifying the work, the location of the claimed infringement, and your contact information; we will investigate and respond.

9. Third-Party Services and Links

The Service relies on third-party providers (hosting, payments, email, security) and can retrieve third-party basemap and imagery services (for example, USGS/The National Map) at build time. The Service and documentation may also link to external websites. Third parties have their own terms; MapCrates does not control and is not responsible for their content, availability, or practices.

You may use a data or tile source with MapCrates only if that source's terms permit your intended caching, export, packaging, offline use, and sharing. Once exported, an Exhibit's embedded content does not depend on any third-party service.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access - including revoking active license sessions - for material breach, nonpayment, chargebacks, security risk, unlawful use, or abuse, with notice where practicable. Upon termination, Sections 5, 6, 8, and 11-15 survive, and the Exhibit-related licenses survive as stated in the EULA.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. MAPCRATES DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT ANY EXHIBIT IS SUITABLE FOR A PARTICULAR PROFESSIONAL, LEGAL, OR REGULATORY PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) MAPCRATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS; AND (B) MAPCRATES' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS AND THE EULA COMBINED SHALL NOT EXCEED THE LESSER OF (i) THE AMOUNTS YOU PAID MAPCRATES IN THE 12 MONTHS BEFORE THE CLAIM OR (ii) $500 - OR $100 IF YOU HAVE PAID NOTHING.

These limits do not apply where prohibited by law, including liability for fraud, willful misconduct, or death or personal injury.

13. Indemnification

You will defend and indemnify MapCrates against third-party claims arising from your data and content; your Exhibits and their use by recipients; your breach of these Terms or the EULA; your violation of law or third-party rights (including data-source license terms); or your professional services to your own clients.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Before filing any claim, you agree to contact support@mapcrates.com and attempt in good faith to resolve the dispute informally for at least 30 days.

Any dispute that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Comal County, Texas, and you consent to their jurisdiction and venue. To the extent permitted by law, each party waives trial by jury and agrees that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If any part of this section is found unenforceable, the remainder still applies.

15. General

We may update these Terms with notice - by email or in-product - at least 30 days before material changes take effect; continued use after the effective date is acceptance, and prior versions are available on request. Notices to you go to your account email; notices to us go to support@mapcrates.com or Anorak Group, LLC d/b/a MapCrates, 521 Pecos Circle, New Braunfels, TX 78130.

If any provision is unenforceable, the remainder stands. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale. Neither party is liable for delays caused by events beyond reasonable control. You agree to comply with applicable export laws. These Terms, together with the EULA, the Privacy Policy, and any beta or order terms, are the entire agreement regarding the Service.
